L98 aint much different to the LS3. Not really worth the upgrade IMO.
Both are 375ci, use the same heads and intake manifold. Why do you want to change the motor?

Doesn't need new heads!!!
The L98 heads flow well enough for most applications.

At most I'd say use some thinner commetic head gaskets and bump the static compression up abit. I've been told that the commetic gaskets are a little fussy on the mating surface how ever, so if FI isn't on the horrison it might even be easier to have 20thou taken off the heads and use a standard gasket.
Do a bit of research but its my understanding that the L98 heads benifit from a wide split cam. (i.e; 236 - 244/112)

the L98 is a 6lt, the LS3 is a 6.2 lt , 365ci v 375ci (if thats what you say a 6.2lt is) just to clarify.

Ahh, yep. LS3 has a 4.065" bore. The L98 is a 4.00" bore.

I always do that :S.
Even still. For the cost I hardly think its worth the effort. Stick a new bump stick in the L98 and go for broke.

If your going to do it, be sure to stroke it and forge it! My new LS3 427ci motor is going to make almost 500rwhp normally aspirated with a very streetable cam.

Kinda changes the cost of the project a little bit don't ya think? If he was going to stroke an engine he could just as easily get 408ci out of the L98, get pretty well the same power and save at least $7k.

Absolutely! I wasn't trying to say go with a 427, I was just suggesting if he was going to do a swap, get a forged stroker. Great power while it is normally aspirated, and someday if Forced Induction is added, then the real power kicks in!
