If you're going over 40km/h and let go of throttle to just cruise Overdrive will engage(and you'll be reving around 1000 rpm unless Power mode is turned on in which case it always stays in 3rd and changes the ratios a bit.

Factory setting for the upshift from 3rd to 4th in the VR V6 is 48km/h in economy mode and 84km/h in power mode on a closed throttle. Otherwise with wide open throttle it can change into overdrive as late as 205km/h (which must be close to top speed). VR V8 are slightly different with 42km/h and 72km/h on closed throttle and 185km/h with WOT.

Yeah this seems too early to me, mine will do this too, if you had a manual you wouldn't put it in 5th at 40 kph!

I was under the impression that 4th gear in an auto is Top gear and not overdrive.Like 4th gear in a 5 speed manual or 5th gear in the V6 6 speed.
