So I have a 5L from a VN sitting at home. Thinking of stripping it down and completely rebuilding it with some decent equipment. Is there anyway I can put it in legally or do I need to find a engine newer than my car?

Yep 5.0L are the same until the Vt which had the maf. Just use the VS loom and ecu if they you already have a V8 in it. If you don't you will need all the other v8 bits

VN to VS 304's have the same engine prefix (VU), therefore I do not believe you should have problem.

Ok cool. Looking at putting it in my Berlina. I had the thought that you could only put a engine that is newer than the car in.

No, as said the 5.0L has the same prefix so there is no problem. As I said if the car is a V6 then you quite a few more parts than just the engine but the conversion is not that hard.

I thought I read somewhere that a VN in a VS would fail the emissions test because it has no provision for a oxygen sensor.

the oxygen sensor is in the exhaust, and the exhaust are routed specific to car, steering column and starter motor.
Therefore if you run a VN engine (VU prefix) with the VS exhaust manifold/extractors and the VS O2 plugs & loom/ECU you should not have a problem.

of course, none of this applies for a Series3 VS ute, which has the VT roller cam/sequential fuel injection engine (different prefix, I think it is VN?!?)
